1. Purpose
These terms govern access to and use of the Kartalik platform (the “Service”), published by NOVASTACK SARL, with a share capital of 100 000 MAD, registered in the Marrakech Commercial Register under No. 185521, with its registered office at APPT N 7 ETG 2 LOT AL MASAR N 643, Marrakech (the “Publisher”, “we”). The Service lets restaurants and merchants (the “Client”, “you”) create and manage digital loyalty cards in Apple Wallet and Google Wallet.
2. Acceptance
Creating an account or using the Service constitutes full acceptance of these terms. If you do not accept them, do not use the Service.
3. The Service
The Service provides loyalty card creation, customer enrollment via QR code, distribution of cards to Apple and Google Wallet, push notifications, visit tracking and a management dashboard. Available features depend on the subscribed plan.
By using the Service, you agree to receive service-related communications necessary for its operation — by email and by push or in-app notification — such as account, security, subscription and operational messages. These are not marketing messages; any commercial communication requires your separate opt-in and can be unsubscribed at any time.
4. Eligibility and account
The Service is reserved for professionals. You agree to provide accurate information when registering and to keep your credentials confidential. You are responsible for all activity carried out from your account, including that of your scan managers.
5. Subscriptions and plans
The Service is offered under three plans, billed per loyalty card, for a term of 1, 6 or 12 months. Prices are shown in Moroccan dirhams (MAD) on the pricing section of our site. Each new business receives its first month free, once.
- Starter — one store per loyalty card, with one scan manager for that store: unlimited customers and scans, wallet passes, points program, stamp card, enrollment QR, free manual push, mobile apps and dashboard.
- Growth — everything in Starter, across up to 3 stores per loyalty card, with up to 2 scan managers per store.
- Pro — everything in Growth, across up to 10 stores per loyalty card, with up to 5 scan managers per store.
A subscription covers one loyalty card. A business running several cards subscribes for each of them, and the scan-manager allowance counts per store, not per business.
The price and the limits that apply to a subscription are the ones in force on the day it was granted. If we later change a plan's price or its limits, subscriptions already running keep what they were sold; the new terms apply from the next one.
5.1 Changing plan during a subscription
Moving up to a higher plan takes effect immediately. You pay only the difference between the two plans, in proportion to the days left to run in the current period, and your renewal date does not move.
Moving down to a lower plan does not take effect immediately: it is scheduled for the end of the current period, so you keep the plan you paid for until then and nothing is refunded for the difference. A scheduled change can be replaced or cancelled at any time before it takes effect.
A change of plan keeps the length of the period already running — a subscription taken for 12 months stays a 12-month subscription, whatever duration is selected when the change is requested. When a lower plan takes effect, stores and scan managers beyond its limits are deactivated automatically; for that reason the Service refuses to schedule a downgrade while the card uses more stores than the lower plan allows, so that you can remove them yourself first.
6. Order, payment and billing
Subscriptions are requested through the Service. After the Publisher validates the request (we contact you on the number you provide), the plan is activated for the requested term. Payment is made off-platform under the agreed terms. The Service is activated only after payment is confirmed.
The total shown when you send the request is the total charged: it is recorded with the request and is not recalculated afterwards, even if the catalog changes in the meantime.
Prices are shown in Moroccan dirhams (MAD). Prices are shown exclusive of VAT; VAT at the rate in force is added on the invoice.
Some plans carry a one-off setup fee. It is charged once, with the first paid subscription taken out for a given loyalty card, and appears as a separate line in your billing history. The free first month does not consume it, and it is not charged again on a renewal or on a change of plan.
6.1 Offers, discounts and codes
A price may be reduced by a campaign we are running, by an offer attached to the plan, or by a code you enter. When several apply at once their percentages are added together, capped at 100%. The reduction applies to the plan price for the period ordered and appears on the quote before you confirm.
A code may be used once per loyalty card — or once per business when it says so — and may be restricted to a plan, to a billing period, to first subscriptions, or to a date range. A code that does not meet its conditions is refused, with the reason, at the moment you enter it. Offers are never applied retroactively to a subscription already granted.
7. Renewal, termination and what happens next
There is no automatic renewal and no automatic charge: a subscription simply ends on its end date unless a new one is agreed between the parties. There is no cancellation button, because none is needed — to stop, you renew nothing. If you ask us to end a subscription before its term, we will, but amounts already paid are non-refundable, except where required by mandatory law or agreed in writing by the Publisher.
When a subscription ends without a new one, the loyalty card goes offline within the hour: its enrollment QR stops working, scans are refused, and no more push messages can be sent. Cards already installed on your customers' phones stay on their phones, but they stop being updated and stop earning points.
Nothing is deleted at that moment. Your account, your card and your customers' data are kept as described in the Privacy Policy and the Data Processing Agreement, so that taking out a new subscription puts the card back online exactly as it was. To have your customers' data deleted instead, close your account as described in the Data Processing Agreement.
8. Your obligations regarding your customers' data
You acknowledge and agree that:
- you and the Publisher are jointly responsible for your end-customers' personal data: the Publisher operates the platform, secures the data and declares the processing to the CNDP; you run your programme and use the data only for it (see the Data Processing Agreement);
- you must obtain your end-customers' consent and inform them of the processing of their data before any enrollment;
- you comply with applicable law, in particular Morocco's Law 09-08 and, where applicable, the GDPR;
- you use the Service and the data collected only for legitimate loyalty purposes;
- you do not enrol anyone under 18. The enrollment form states the condition and refuses a birthday that contradicts it, but the people at your counter are yours to instruct.

9. Acceptable use
You must not: use the Service for unlawful or deceptive purposes; send unsolicited or abusive messages to your customers; collect data without a legal basis; attempt to access third-party accounts; disrupt, circumvent or reverse-engineer the Service; or resell the Service without authorization.
10. Personal data
The processing of personal data is described in our Privacy Policy and, for your end-customers' data, governed by the Data Processing Agreement (DPA). These documents form an integral part of these terms.

11. Intellectual property
The Service, its brand, code, design and content remain the exclusive property of the Publisher. No intellectual property rights are transferred to you. The data you enter remains yours; you grant us a limited license to host and process it in order to provide the Service.
12. Availability and maintenance
We strive for optimal availability but do not guarantee uninterrupted operation. The Service may be temporarily suspended for maintenance, updates or security reasons. The Service is provided “as is”.
13. Limitation of liability
To the extent permitted by law, the Publisher shall not be liable for indirect damages (loss of revenue, customers or data). In any event, our total liability is limited to the amounts you paid for the Service during the last three months. We are not responsible for interruptions or changes to third-party services (Apple Wallet, Google Wallet).
14. Suspension and termination by the Publisher
We may suspend or terminate your access, without notice, in the event of non-payment, breach of these terms, or fraudulent or unlawful use of the Service.
15. Changes to these terms
We may amend these terms. Changes take effect once published on the Service; continued use constitutes acceptance of the updated version.
16. Force majeure
Neither party shall be liable for any failure caused by a force majeure event within the meaning of Moroccan law.
17. Governing law and jurisdiction
These terms are governed by Moroccan law. Any dispute falls under the exclusive jurisdiction of the courts of Marrakech, failing amicable resolution.
This clause cannot deprive you of a protection that mandatory law gives you: where you contract as a consumer within the meaning of Law 31-08, or where you are established outside Morocco and your own law reserves jurisdiction, that law prevails over this clause. Your customers are never party to these terms; nothing here is enforceable against them.
